THE ROLE:

AMD is seeking a Senior Corporate Counsel to join its legal team. The successful candidate will primarily support AMD’s Indirect Procurement Group. You will report to the Senior Director of the Legal Procurement team and work as part of a larger corporate team, including Indirect Procurement, IT, Finance, Marketing, Benefits/HR, Accounting, and other groups, to support their commercial transactions and related legal needs.

 

THE PERSON:

To be successful in this position, You must:

  • Have a progressive work history with in-house and/or private practice experience: (i) providing legal counsel to clients for purchasing, services, SaaS, software licensing and related business issues, (ii) have deep experience drafting and negotiating major business, marketing, intellectual property, purchasing, services and technology agreements, and (iii) be proficient in partnering with clients to develop internal processes to help manage legal risk. Experience with compliance, benefits/HR agreements, data security agreements and data protection regulations (including GDPR and CCPA) is an advantage.
  • Be flexible and willing to assume new or different responsibilities as the needs of the client evolve and educate internal and external clients on areas of expertise.
  • Be comfortable working remotely with clients, colleagues, and business partners in the US, EMEA, LTAM and APAC regions, recognizing that this may result in occasional meetings in the late evening or early morning.
  • Be an initiative-taker who can work independently and collaborate as part of a team.
  • Be able to multitask and prioritize workload and competing priorities.
  • Be efficient, effective, well organized, and able to prioritize and manage multiple projects.
  • Be creative, practical, collaborative, and solution oriented.

 

KEY RESPONSIBILITIES:

You will have responsibility for handling a variety of commercial matters and must possess strong commercial contract negotiation and drafting skills related to the following types of agreements:

  • General Services and Statements of Work (SOWs)
  • Enterprise Licensing
  • Software Licensing (e.g., SAAS and on prem) and related Maintenance and Service Level Agreements
  • Infrastructure as a Service
  • Professional Services
  • Data Processing
  • Marketing and Sponsorship
  • HR and Benefits
  • Logistics and Warehousing
  • Hotel Reservations and Event Participation
  • Facilities Leasing and Maintenance

You will also:

  • Work closely with other AMD’s lawyers and paralegals.
  • Collaborate with and manage outside counsel and resources effectively for specific engagements in accordance with budget.
  • Provide training to AMD’s employees and AMD Procurement Team on Contracts, Privacy, Careful Communication and Compliance.
  • Develop and update procurement agreements templates and related playbooks.
  • You will need to hold a valid passport, as occasionally you may need to travel internationally. 

 

ACADEMIC CREDENTIALS:

Have a J.D. or LL.B. from an accredited law school in Canada and/or the United States

Be a member in good standing of a provincial and/or state bar.
